We may provide you with social media tools and email functionalities (the "Social Tools") to facilitate the distribution of certain news articles to which they are functionally connected (the "News") to third parties. All individual articles, columns and other elements making up the Content are also copyrighted works.

GBI will uses commercially reasonable efforts to ensure that any Contents available in the Site and Services do not infringe a third party's proprietary rights; however, GBI does not represent or warrant the quality, truthfulness or accuracy of any third party information provided in the Contents available in the Site and Services. If GBI becomes aware of that any Content available in the Site and/or Services infringes a third party's proprietary rights or any third party withdraws its consent to the continuing use of such Content in the Site and/or Services, then GBI will remove such Content from the Site and/or Services, at which time any rights granted you to use, reproduce, or distribute such Content shall cease immediately.

Subject to these Terms, you are granted a non-exclusive, non-transferable, non-sublicensable license to access the limited areas of the Site and Services, and the Content and functionality of the Site and Services, that we make available to you only for your personal, non-commercial use. You may not transfer or sublicense this limited right, or resell the Content, Site and Services. You must keep intact all copyright, trademark, and other proprietary notices on or associated with the Site, Services, and Content.

This functionality is provided as a courtesy and may be implemented or removed by us at any time regardless of whether you have any Paid Services. You may not attempt to circumnavigate or alter the functionality of the export button. In no circumstances may you export more than a small fraction of the Contents of any section of the Site or Services. Your use of Contents once exported are subject to the license and all other provisions of these Terms and any applicable Subscription Services Agreement, Platform Agreement or other agreement between you and GBI. Unless otherwise provided by written consent of GBI, you may not distribute any exported Content to any third party. If you would like to purchase the ability to export Content in an amount greater than allowed by these Terms and the functionality of the Site and Services, you may make such request by contacting your GBI account manager or GBI at support@generalbiologic.com and we will consider the options available to you, if any, at our sole and absolute discretion.

10. USER SUBMISSIONS 用户提交内容
Some areas of the Site and Services may allow you to submit audio, video, text, configurations, named searches, or other materials (collectively, the "User Submissions"). When you provide User Submissions, you grant to GBI and its partners a non-exclusive, worldwide, irrevocable, perpetual, royalty-free, fully sublicenseable license to use, distribute, edit, display, archive, publish, sublicense, perform, reproduce, make available, transmit, broadcast, sell, translate, and create derivative works of those User Submissions, and your name, voice, likeness and other identifying information where part of a User Submission, in any form, media, software, or technology of any kind now known or developed in the future, including, without limitation, for developing, manufacturing, and marketing products. You waive any moral rights you have in your User Submissions. You also permit any other user, at the sole and absolute discretion of GBI, to access, store, or reproduce such material for that user’s personal use.We respect your ownership of User Submissions.

If you owned a User Submission before providing it to us, you will continue owning it after providing it to us, subject to any rights granted in the Terms, any other agreement between you and GBI, and any access granted to others.

Except as provided in the Privacy Policy, we do not guarantee that User Submissions will be private, even if the User Submission is in a password-protected area. You should not provide User Submissions that you wish protected from others.

Some of the Site, Services and Content may be featured in Chinese, English, or additional languages. If you have a current active and valid agreement with GBI regarding any of the Content (a "Platform Agreement"), you will have access to substantially the same contents as described in your Platform Agreement, subject to your Platform Agreement’s term, terms and conditions. The terms of any Platform Agreement, Subscription Services Agreement or other written agreement may provide for different or additional rights and obligations in lieu of or in addition to certain of these Terms. In the event of any conflict, the terms of such a valid and active Platform Agreement, Subscription Services Agreement, or other written agreement will control. Notwithstanding the foregoing, the terms and conditions of any purchase order or similar form issued by you or your company, even if stamped or signed by GBI, will not supersede these Terms.

We may offer trial subscriptions to Paid Services for free or at special discounted prices. Unless otherwise stated, trial subscriptions and any other subscription services we provide will be automatically renewed for one year at the current subscription rate if you do not cancel before the end of the trial period. You may need to cancel your subscription at least 90 days prior to its renewal date in order to avoid further charges.

Paid services are not cancellable by you unless otherwise agreed to by GBI in writing. Except for termination for default in accordance with the terms of any applicable Platform Agreement or Subscription Services Agreement, for any termination, you agree to pay GBI liquidated damages equaling the remaining amount to be paid by you to GBI under such Platform Agreement or Subscription Services Agreement, without prejudice to any other remedies. Any termination will be without prejudice to any rights or remedies that may have accrued to either you or GBI prior to such termination.

13. ACCEPTABLE USE 可接受使用
The Site and Services have been designed to present the Content in a unique way. You agree not to access the Site and Services using any interface other than ours, unless we give you express permission. Please refer to the System Requirements listed on the Site for a list of supported browsers.

Sections 5, 6, 11 and 15-18 of these Terms will survive any termination of your access to the Site and Services, whether we terminate your access or you voluntarily discontinue your use.

You will defend, indemnify, and hold harmless GBI, its parent, subsidiaries, affiliates, and the directors, officers, employees, shareholders, vendors, partners, contractors, agents, licensors, Suppliers, or other representatives of each of them and all of their successors and assigns with respect to all claims, costs (including attorney’s and experts’ fees and costs), damages, liabilities, fines, sanctions, and expenses or obligations of any kind, arising out of or in connection with your use or misuse of the Site, Services and Content (including, without limitation, any breach of the Collective Terms, or use of your account, whether or not authorized by you, and claims arising from User Submissions). GBI retains the right to assume the exclusive defense and control of any claim subject to indemnification, and in such cases you agree to cooperate with us to defend such claim. GBI DOES NOT REPRESENT OR WARRANT: (1) THAT THE SITE, SERVICES, AND CONTENT, ANY OF THE SITE AND SERVICES’ FUNCTIONS OR ANY CONTENT OR SOFTWARE CONTAINED THEREIN WILL BE COMPATIBLE WITH YOUR SYSTEM, UNINTERRUPTED OR ERROR-FREE; (2) THAT DEFECTS WILL BE CORRECTED; (3) THAT THE SITE, SERVICES, CONTENT, OR THE SERVERS HOSTING THEM ARE FREE OF VIRUSES OR OTHER HARMFUL CODE; (4) THAT THE SITE, SERVICES, CONTENT OR INFORMATION AVAILABLE THROUGH THE SITE AND SERVICES WILL CONTINUE TO BE AVAILABLE OR WILL NOT SUFFER FROM DELAYS, ERRORS, OR INTERRUPTIONS IN TRANSMISSION OR DELIVERY; OR (5) THAT PROVIDING, USING, REPRODUCING AND DISTRIBUTING THE SITE, SERVICES OR CONTENTS WILL NOT GIVE RISE TO A CLAIMED BY A THIRD PARTY FOR INFRINGEMENT OF PROPERTY RIGHTS. THE SITE AND SERVICES, INCLUDING, WITHOUT LIMITATION, ALL CONTENT, SOFTWARE, AND FUNCTIONS MADE AVAILABLE ON OR ACCESSED THROUGH OR SENT FROM THE SITE AND SERVICES, ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTIES OF ANY KIND.SOURCE University (if available) is not an accredited program or institution, and is provided by GBI on for informational purposes only. You understand, acknowledge, and agree that SOURCE University in no way shall be considered as conforming with any educational standards or qualifications prescribed by any private or governmental entity.

THE FOREGOING LIMITATION APPLIES EVEN IF GBI KNOWS OR SHOULD KNOW THAT OTHER DAMAGES ARE POSSIBLE OR THAT DIRECT DAMAGES ARE NOT A SATISFACTORY REMEDY. YOU WAIVE ANY PROVISIONS OF ANY STATE, PROVINCE, OR COUNTRY LAW THAT LIMIT OR PROHIBIT A GENERAL RELEASE, INCLUDING, IF APPLICABLE, SECTION 1542 OF THE CALIFORNIA CIVIL CODE, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR." IF YOU ARE DISSATISFIED WITH ANY OF THE CONTENT, MATERIALS, SITE OR SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE ACCESSING AND USING THE SITE, SERVICES AND CONTENT. YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE, CONTENT OR SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OR THE CAUSE OF ACTION IS PERMANENTLY BARRED.

YOU ACKNOWLEDGE AND AGREE THAT IF YOU INCUR ANY DAMAGES THAT ARISE OUT OF GBI, ITS SUBSIDIARIES AND ITS AFFILIATES OR ANY OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, MERCHANTS, PARTNERS, THIRD-PARTY PROVIDERS OR LICENSORS, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS ACTS OR OMISSIONS, THE DAMAGES, IF ANY, ARE NOT IRREPARABLE AND ARE NOT SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR OTHER EQUITABLE RELIEF RESTRICTING EXPLOITATION OF ANY WEBSITE, PROPERTY, PRODUCT, PROGRAM, OR OTHER AUDIO/VISUAL CONTENT OWNED OR CONTROLLED BY GBI, INCLUDING WITHOUT LIMITATION THE SITE, SERVICES AND CONTENT (INCLUDING THOSE INCORPORATING USER SUBMISSIONS).
